These Terms of Service ("Terms") govern your use of the services provided by ClientFlow. By engaging our services and making any payment, yo u agree to these Terms.
1. Service Overview
ClientFlow provides social media advertising management services. This includes campaign strategy, ad creative creation, targeting setup, and performance monitoring.
2. Fees and Payment
Setup Fee: An initial, non-refundable setup fee of £400 is required before any discovery call or work begins.
Management Fees: Ongoing management fees are billed monthly in advance.
Payment Timing: Services will only commence or continue once payment is received.
Non-payment: If a monthly payment is not received, we reserve the right to pause all services immediately.
3. Ad Spend and Account Management
Ad Account Ownership: All advertising campaigns are operated through ClientFlow’s advertising accounts.
Ad Budget Funds: You are responsible for providing funds to cover the cost of ad spend on social platforms.
Budget Depletion: If your monthly management fee payment is missed, ClientFlow will continue to run existing ad campaigns only until the current pre-paid ad budget has been exhausted. Once these funds are spent, all ad activity will cease immediately.
Liability: ClientFlow acts as an agent in the placement of these ads. While we take every precaution to comply with platform policies, we are not liable for account suspensions or restrictions imposed by third-party platforms (e.g., Meta or Google).
4. No Guarantees
Advertising results are dependent on numerous variables, including but not limited to, market conditions, the client’s website conversion rate, product quality, and current economic factors. ClientFlow does not guarantee specific revenue, lead volume, or return on ad spend (ROAS).
5. Termination
As we operate on a pre-payment model, there is no fixed-term contract. You may cease our services at any time by simply not making the next monthly payment. Conversely, ClientFlow reserves the right to terminate our services at any time with immediate effect if we determine we are unable to effectively serve your business.
6. Intellectual Property
Proprietary Systems: ClientFlow retains full ownership of all proprietary systems, strategies, processes, and frameworks used in the delivery of our services.
Ad Creative: Upon full payment of all fees due, you are granted ownership of the final ad creative assets developed specifically for your campaigns.
7. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
